HEALTH & SAFETY POLICY — SHARED WORKSPACE ARRANGEMENTS
Suite 2130, Jones on Main, 712 Main Street, Houston, TX
1. Purpose and Scope
This policy governs health, safety, and workplace conduct for all individuals granted access to shared desk space within Suite 2130 ("Desk Users") pursuant to a service/cost-sharing arrangement with Oceantrade LLC ("Company"). It applies in addition to, and does not supersede, any building rules and regulations issued by 712 Jones Realty LLC or its property manager.
2. Compliance with Building and Fire Codes
Desk Users shall comply at all times with all applicable municipal, state, and federal health and safety laws, the City of Houston Fire Code, and all building-specific life-safety rules, including posted occupancy limits, means-of-egress requirements, and fire suppression system access. Desk Users shall not obstruct corridors, exits, fire doors, or emergency equipment at any time.
3. Occupancy Density
The Company shall maintain occupancy of Suite 2130 within the density limitations set forth in Section 10 of the underlying lease. The Company shall not permit the number of individuals present at any one time to exceed the lesser of (a) the building's certificate-of-occupancy limit for the suite, or (b) the density cap specified in the lease.
4. Emergency Procedures
Upon commencement of use, each Desk User shall be provided with: (a) the location of primary and secondary emergency exits; (b) the assembly point designated by building management; (c) the location of fire extinguishers and first-aid supplies; and (d) instructions for reporting a medical emergency, fire, or other incident to building security and to the Company's designated point of contact. Desk Users are responsible for participating in scheduled fire drills.
5. General Workplace Conduct and Housekeeping
Desk Users shall keep assigned and common areas free of tripping hazards, maintain clear access to electrical panels and outlets, and refrain from overloading circuits with personal equipment. No open flames, unauthorized cooking appliances, or hazardous materials may be brought into the suite without prior written consent of the Company.
6. Incident Reporting
Any accident, injury, near-miss, or safety hazard occurring within Suite 2130 must be reported to the Company's designated administrator within twenty-four (24) hours, and, where required, to building management and/or OSHA in accordance with applicable reporting thresholds.
7. Insurance and Liability (No Coverage Provided by Company)
The Company does not provide, and shall have no obligation to provide, any insurance coverage — including but not limited to general liability, property, health, or workers' compensation insurance — for any Desk User. Each Desk User acknowledges and agrees that they access and use the shared workspace entirely at their own risk and are solely responsible, at their own expense, for obtaining any insurance coverage they deem necessary or advisable, including coverage for personal injury, property damage, and liability to third parties arising from their use of Suite 2130. The Company shall bear no liability or responsibility for any loss, injury, illness, or damage sustained by a Desk User or their property while on the premises, except to the extent such loss, injury, illness, or damage is caused by the Company's own gross negligence or willful misconduct. Each Desk User agrees to indemnify and hold harmless the Company from and against any claims, damages, or liabilities arising out of their acts, omissions, or presence within the shared space.
8. Access Control
Access to Suite 2130 shall be limited to individuals specifically authorized by the Company. The Company reserves the right to suspend or revoke access for any Desk User who violates this policy or building rules, or who creates a safety hazard.
9. No Tenancy Created
Nothing in this policy shall be construed to create a landlord-tenant relationship, sublease, or leasehold interest between the Company and any Desk User. Access is granted solely as an incident of the service/cost-sharing arrangement and is revocable at the Company's discretion.
10. Right to Inspect and Amend
The Company reserves the right to inspect the shared workspace for compliance with this policy and to amend this policy from time to time as necessary to maintain compliance with building rules or applicable law.
